Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by SkillsDB Inc. ("SkillsDB," "we," "our," or "us"), including the marketing website at skillsdb.com, the SkillsDB platform, and any related products, APIs, MCP servers, integrations, or documentation (collectively, the "Services").

By creating an account, selecting "I agree" (or similar), starting a free trial, signing up for a Free workspace, or otherwise using the Services, you agree to these Terms on behalf of yourself and any organization you represent ("Customer" or "you"). If you do not agree, do not use the Services.

Custom agreements take precedence. If you and SkillsDB have entered into a separate written agreement covering your use of the Services — for example, a Software Subscription Agreement, Order Form, or Data Processing Agreement (a "Custom Agreement") — that Custom Agreement governs your use of the Services and these Terms do not apply to that engagement to the extent of any conflict.

1. Definitions

  • Account: the workspace you create on the SkillsDB platform.
  • Authorized User: an employee, contractor, or other individual you authorize to use the Services through your Account.
  • Customer Data: any data, content, or information you or your Authorized Users upload to, generate in, or transmit through the Services, including skill, competency, and personnel information.
  • Documentation: the user-facing documentation we make available at help.skillsdb.com.
  • Free Tier: the no-cost SkillsDB tier with the limits described in our pricing.
  • Trial: a time-limited evaluation of a paid tier as described in Section 4.
  • Subprocessor: a third party we engage to help provide the Services (listed in our Trust Center).

2. Account Registration & Acceptable Use

  • You must be at least 16 years old to use the Services. The Services are not directed to children.
  • You are responsible for the security of your account credentials. Each login is for a single human and may not be shared.
  • You are responsible for the activity of your Authorized Users and for all Customer Data they submit.
  • You will not use the Services to violate any applicable law, infringe any third party's rights, or send unsolicited communications, spam, malicious code, or content that is unlawful, harassing, defamatory, or obscene.
  • You will not (a) reverse engineer, decompile, or attempt to derive the source code of the Services; (b) build a competing product using the Services or the Documentation; (c) circumvent rate limits, usage limits, or access controls; or (d) resell, sublicense, or make the Services available to any third party except as expressly permitted.
  • Prohibited Data. You will not submit to the Services: (a) protected health information regulated by HIPAA; (b) payment card data subject to PCI-DSS, other than payment details you submit through our payment processor's secure payment interface for the purpose of paying SkillsDB fees (such details are handled directly by our PCI-compliant payment processor and are not stored by SkillsDB); (c) social security numbers, driver's license numbers, or other government-issued identifiers; (d) special categories of personal data as defined under GDPR (e.g., racial or ethnic origin, religious beliefs, biometric data); or (e) any information whose handling requires regulatory obligations beyond those described in these Terms or the SkillsDB Data Processing Agreement.

3. The Services and Tiers

SkillsDB is offered in tiers, currently: Free, Team, Scale (with the optional Scale+ add-on), and Enterprise. Tier features, seat limits, and pricing are described on our pricing page and may evolve over time. Enterprise customers typically operate under a Custom Agreement.

Free Tier

The Free Tier is offered at no cost, requires no payment method, and is subject to usage limits described on the pricing page (including limits on user records, frameworks, skills, career pathways, and certifications, and exclusion of certain features such as employee self-assessment, SSO/SCIM, and API access). The Free Tier is provided "AS IS" with no service-level commitments and may be modified, throttled, or discontinued at our discretion with reasonable notice.

Trial

We may offer a time-limited Trial of a paid tier (currently 14 days of Scale-tier features). Trials are limited to one per workspace, do not require a payment method unless you elect to add one, and automatically convert to the Free Tier upon expiration unless you upgrade. Data created during the Trial is preserved when the workspace converts to the Free Tier; features and content above the Free Tier limits become read-only until you upgrade.

Beta and Early-Access Features

We may identify features as "beta," "preview," or "early access." Such features are provided "AS IS" and may be changed or discontinued at any time. They are not subject to any service-level commitments.

4. Fees, Billing, and No Refunds

  • Pricing. Paid tiers are billed per active seat, per chosen billing cadence (monthly or annual), at the rates posted on our pricing page when you subscribe. All fees are stated in U.S. dollars and are exclusive of taxes, levies, or duties, which you are responsible for (other than U.S. federal or state income taxes imposed on SkillsDB).
  • Auto-renewal. Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual) at the then-current list rate, unless you cancel before the renewal date.
  • Seat changes. Adding seats results in a prorated charge for the remainder of the current billing cycle. Removing seats reduces the seat count for the next billing cycle; we do not issue refunds for unused seats.
  • No refunds. All fees are non-refundable. SkillsDB does not provide refunds or credits for partial billing periods, downgrades, unused seats, unused features, or periods during which the Services were not used. To treat all customers fairly, exceptions are not made except where required by applicable law.
  • Failed payment. If a payment fails, we will retry and notify you. If payment is not made within 14 days, we may suspend the Account; if not made within 30 days, we may downgrade the Account to the Free Tier or terminate it.
  • Price changes. We may change pricing for paid tiers on at least 30 days' advance notice for monthly subscriptions and 60 days' advance notice for annual subscriptions. Changes take effect at your next renewal; the price you locked in for the current billing cycle is honored.

5. Term, Cancellation, and Termination

  • Term. These Terms apply for as long as you have an Account.
  • Self-serve cancellation. You can cancel a paid subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing cycle; you retain access to paid features through the end of that cycle.
  • Free Tier. You may close a Free Tier workspace at any time by deleting the Account from settings.
  • Termination by SkillsDB. We may suspend or terminate your Account if (a) you materially breach these Terms and fail to cure the breach within 30 days of notice (or immediately if cure is not possible), (b) we are required to do so by law, or (c) you fail to pay fees as set forth in Section 4.
  • Effect of termination. Upon termination, your right to use the Services ceases. We will make Customer Data available for export for at least 30 days following termination unless prohibited by law. After that period, Customer Data is deleted in accordance with our retention practices described in our Privacy Policy.

6. Customer Data and Customer IP

  • Ownership. As between you and SkillsDB, you own all Customer Data and all intellectual property rights in it. We claim no ownership of Customer Data.
  • License to SkillsDB. You grant SkillsDB a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely as necessary to provide and improve the Services for you and to comply with applicable law.
  • Aggregated data. SkillsDB may use anonymized and aggregated data derived from use of the Services to operate, improve, and benchmark the Services, provided such data does not identify you, any Authorized User, or any individual.
  • Export. You may export your Customer Data at any time using the export tools we provide.
  • Backup. We back up Customer Data as part of our standard operations; however, you remain responsible for retaining your own copies of any data you consider critical.

7. Security and Privacy

SkillsDB maintains a written information security program designed to protect Customer Data, consistent with our SOC 2 Type II compliance program. Our practices include, without limitation:

  • Encryption of Customer Data in transit (TLS 1.2 or higher) and at rest
  • Role-based access controls, least-privilege provisioning, and multi-factor authentication for our personnel
  • Continuous monitoring, vulnerability management, and periodic penetration testing
  • Background checks and security training for personnel with access to Customer Data
  • Subprocessor due diligence and contractual data-protection commitments (current list at our Trust Center)
  • A documented incident-response and business-continuity program, tested at least annually

Security incident notification. If we become aware of a personal data breach affecting your Customer Data, we will notify you without undue delay and, where required by GDPR Article 33, within 72 hours of becoming aware of the breach, with the information available to us at that time.

Data hosting. By default, Customer Data is hosted in the United States. EU data residency is available as a paid option for eligible tiers; contact us for details.

Privacy. Our processing of personal data is described in our Privacy Policy. For customers subject to GDPR, UK GDPR, CCPA/CPRA, or similar laws, our Data Processing Agreement ("DPA") — which incorporates the EU Standard Contractual Clauses where applicable — is available through our Trust Center and, once countersigned, is incorporated into these Terms by reference.

8. SkillsDB Intellectual Property

As between you and SkillsDB, SkillsDB and its licensors own all rights, title, and interest in the Services, the Documentation, the SkillsDB platform, and all related intellectual property, including any improvements, modifications, derivatives, and feedback. Subject to your compliance with these Terms, SkillsDB grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the Term for your internal business purposes.

Feedback. If you provide suggestions, ideas, or feedback about the Services, you grant SkillsDB a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

Customer marketing. Customer grants SkillsDB a non-exclusive right to use Customer's name and logo to identify Customer as a SkillsDB customer in marketing materials, customer lists, case studies, the SkillsDB website, sales presentations, press releases, social media, and similar communications, in a manner consistent with industry norms. SkillsDB will not use any Customer Data, end-user information, or other non-public Customer information in such materials without Customer's prior written consent. Customer may revoke this marketing permission prospectively by emailing support@skillsdb.com.

Use of SkillsDB marks. Customer may not use SkillsDB's name, logo, or trademarks without our prior written consent.

9. Confidentiality

Each party may disclose to the other non-public information that it identifies as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will (a) use the same degree of care it uses to protect its own confidential information, but no less than reasonable care, (b) use Confidential Information only to perform under these Terms, and (c) not disclose Confidential Information to third parties except to its personnel and advisors with a need to know who are bound by confidentiality obligations no less protective than these.

Confidential Information does not include information that is publicly known through no fault of the receiving party, was rightfully known prior to receipt, is independently developed without use of the disclosing party's information, or is rightfully obtained from a third party without restriction. The receiving party may disclose Confidential Information if required by law, subpoena, or court order, provided it gives the disclosing party prompt notice (where legally permitted) and uses reasonable efforts to limit the disclosure.

These confidentiality obligations apply during the Term and for three (3) years after termination, except that obligations with respect to trade secrets continue for as long as the information remains a trade secret under applicable law.

10. Service Availability

For paid tiers, we target 99.5% monthly system availability, excluding scheduled maintenance, events outside our or our hosting providers' reasonable control, errors caused by your third-party providers, and force-majeure events. Where applicable, scheduled maintenance is performed during off-peak hours with at least 24 hours' advance notice via the administrative dashboard or email.

Service-credit remedies for failure to meet the 99.5% target apply to the Scale+ and Enterprise tiers as set out in our Service Level Agreement, available through our Trust Center or, for Enterprise customers, in their Custom Agreement. Service credits are the sole and exclusive remedy for missed availability. The Free Tier, Trial, Team, and Scale tiers are provided on a best-effort basis without service-credit commitments.

11. Warranties; Disclaimers

Limited service warranty. SkillsDB warrants that during a paid subscription, the Services will materially conform to the Documentation. If the Services materially fail to conform and you notify us in writing, we will use commercially reasonable efforts to correct the non-conformity within 30 days. If we are unable to do so, your sole and exclusive remedy and our sole liability is termination of the affected subscription and a pro-rata refund of prepaid, unused fees for the affected period.

Disclaimer. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICES (INCLUDING THE FREE TIER, TRIALS, AND BETA FEATURES) ARE PROVIDED "AS IS" AND "AS AVAILABLE." SKILLSDB DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SKILLSDB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM EVERY UNAUTHORIZED ACCESS, OR THAT ALL DEFECTS WILL BE CORRECTED.

12. Indemnification

By SkillsDB. SkillsDB will defend Customer against any third-party claim alleging that the Services, as provided by SkillsDB and used in accordance with these Terms, infringe a third party's U.S. patent, copyright, trademark, or trade-secret rights, and will pay damages and costs (including reasonable attorneys' fees) finally awarded against Customer or agreed in settlement, provided Customer (a) gives SkillsDB prompt written notice of the claim, (b) gives SkillsDB sole control of the defense and settlement, and (c) provides reasonable cooperation. The foregoing does not apply to claims arising from (i) Customer Data, (ii) modifications to the Services not made by SkillsDB, (iii) combination of the Services with materials not provided by SkillsDB, or (iv) Customer's use of the Services in violation of these Terms or applicable law. If a claim is made or appears likely, SkillsDB may, at its option and expense, (1) procure the right for Customer to continue using the Services, (2) modify the Services to be non-infringing, or (3) terminate the affected subscription and refund prepaid, unused fees. This Section states SkillsDB's sole liability and Customer's exclusive remedy for IP infringement claims.

By Customer. Customer will defend SkillsDB against any third-party claim arising from (a) Customer Data, (b) Customer's or its Authorized Users' misuse of the Services, (c) Customer's violation of these Terms or applicable law, or (d) Customer's submission of Prohibited Data, and will pay damages and costs (including reasonable attorneys' fees) finally awarded against SkillsDB or agreed in settlement, subject to the same notice, control-of-defense, and cooperation conditions stated above.

13. Limitation of Liability

EXCEPT FOR (A) EITHER PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12, (B) CUSTOMER'S PAYMENT OBLIGATIONS, (C) BREACHES OF CONFIDENTIALITY UNDER SECTION 9, OR (D) CUSTOMER'S VIOLATION OF SECTION 2 (ACCEPTABLE USE) OR SECTION 8 (SKILLSDB IP):

  • No indirect damages. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Liability cap. EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO SKILLSDB UNDER THESE TERMS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. For Free Tier customers and Trial users who have not paid fees, each party's total cumulative liability will not exceed one hundred U.S. dollars ($100).

Each party acknowledges that the limitations in this Section are an essential part of the bargain and that, absent these limitations, the financial and other terms of the Services would be substantially different. The limitations apply to the maximum extent permitted by applicable law; some jurisdictions do not permit the exclusion of certain damages, and to that extent these exclusions may not apply.

14. Modifications to These Terms

SkillsDB may modify these Terms from time to time. For material changes, we will provide notice at least 30 days in advance via email to your Account's admin contact, in-product notification, or by posting an updated version on the website with an updated "Updated" date. Your continued use of the Services after the effective date of an updated version constitutes acceptance. If you do not agree to a material change, your sole remedy is to cancel your subscription before the change takes effect; we will refund prepaid, unused fees for the affected period.

15. General

  • Governing law. These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
  • Dispute resolution. The parties will first attempt to resolve any dispute informally by contacting the other party in writing. If a dispute is not resolved within 60 days, either party may bring an action in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction and venue of those courts. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction.
  • Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, or failures of public infrastructure or third-party providers.
  • Assignment. Neither party may assign these Terms without the other's prior written consent, except that either party may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, on written notice. Any attempted assignment in violation of this Section is void.
  • Notices. Notices to SkillsDB must be sent to support@skillsdb.com. Notices to Customer will be sent to the admin email on file for the Account or, where appropriate, displayed in-product.
  • No third-party beneficiaries. These Terms do not create any rights for, or grant any benefit to, any third party.
  • Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
  • No waiver. A failure to enforce any provision is not a waiver of the right to do so later.
  • Entire agreement. These Terms, together with our Privacy Policy, Cookie Policy, any DPA executed between the parties, and any Order Form or Custom Agreement, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements, proposals, or representations on that subject. In the event of a conflict, the order of precedence is: (1) any Custom Agreement, (2) any executed DPA, (3) any Order Form, and (4) these Terms.
  • Survival. Sections 4 (to the extent of unpaid fees), 6, 8, 9, 11 (Disclaimer), 12, 13, 15, and any other provision that by its nature should survive, will survive termination.
